VYNE Therapeutics Inc. and Yarrow Bioscience, Inc. entered into a Merger Agreement dated December 17, 2025 (amended January 30, 2026), pursuant to which VYNE's subsidiary will merge with Yarrow, with Yarrow surviving as a wholly owned subsidiary of VYNE. Each share of Yarrow Capital Stock will be converted into approximately 35.8667 shares of VYNE Common Stock, with Yarrow investors investing approximately $100 million in a pre-closing financing and VYNE shareholders expected to own approximately 3.0% of the combined company post-merger. The merger requires VYNE shareholder approval at a special meeting and approval for listing of VYNE Common Stock on Nasdaq.
