Cartesian Growth Corporation III, a Cayman Islands SPAC, agreed to merge with Factorial Inc., a Delaware corporation, pursuant to a Business Combination Agreement dated December 17, 2025 (amended March 26, 2026). Following the transaction, CGC will domesticate as a Delaware corporation and be renamed Factorial Holdings, Inc. The business combination involves a domestication, merger of CGC's subsidiary Fenway MS, Inc. with and into Factorial, and related transactions.
