Beacon Topco, Inc. (Topco), a Delaware corporation and subsidiary of Barinthus Biotherapeutics plc, entered into a Merger Agreement on September 29, 2025 (amended February 22, 2026) to acquire Barinthus Bio and Clywedog Therapeutics, Inc., creating a combined company focused on clinical-stage candidates in metabolic and autoimmune diseases. Upon closing, Barinthus Bio shareholders will own approximately 34% and Clywedog stockholders approximately 66% of the renamed Clywedog Therapeutics Holdings, Inc. on a fully diluted basis, with Topco Common Stock expected to be listed on Nasdaq under ticker symbol "CLYD."
