flyExclusive to Merge with Jet.AI SpinCo in Stock Transaction
flyExclusive, Inc. and Jet.AI Inc. have entered into a merger agreement whereby flyExclusive's subsidiary FlyX Merger Sub will merge with Jet.AI SpinCo, with SpinCo surviving as a wholly owned subsidiary of flyExclusive. SpinCo shareholders will receive approximately 4,600,000 shares of flyExclusive Class A common stock on a pro rata basis, subject to adjustments based on estimated net cash and parent trading price at closing. The transaction allows each company to focus on its core business while providing flyExclusive with increased size and additional cash.
