Cartesian Growth Corporation III, a Cayman Islands exempted company, approved a Business Combination Agreement dated December 17, 2025 (amended March 26, 2026) to merge with Factorial Inc., a Delaware corporation. Following the merger, CGC will domesticate to Delaware and be renamed Factorial Holdings, Inc., with Factorial surviving as a wholly-owned subsidiary. The transaction includes a domestication of CGC and a merger of CGC's subsidiary Fenway MS, Inc. with Factorial.
